Terms and Conditions

These Terms of Use (“Terms”) govern your access to and use of Floralyst, including the Floralyst mobile application, website and related services (“Floralyst” or the “Service”).

Floralyst is operated by Ecomlytics Ltd, trading as Floralyst (“we”, “us” or “our”), a company registered in England and Wales under company number 16798911, with its registered office at 1 Kings Avenue, London, United Kingdom, N21 3NA.

By creating an account, purchasing a subscription or using Floralyst, you agree to these Terms. If you do not agree to these Terms, please do not use the Service.
 

1. About Floralyst

Floralyst is a workflow and commercial planning tool for people who create and sell floral arrangements.

The Service may include flower identification, floral recipe generation, suggested quantities, costing and pricing tools, flower price management, project management, consolidated ordering, saved recipes, exports and other related functionality.

Floralyst is designed to support your professional judgement, not replace it.
 

2. Your Account

You may need to create an account to use some or all of Floralyst.

You are responsible for providing accurate information, maintaining the security of your account and for activity carried out through your account.

You must not allow another person to use your account without authorisation or use another person's account without permission.

You must be at least 18 years old, or otherwise legally capable of entering into a binding agreement in your jurisdiction, to purchase a Floralyst subscription.
 

3. AI-Assisted Features

Floralyst uses artificial intelligence and automated systems to assist with functions including flower and foliage identification, arrangement analysis, suggested quantities and floral recipe creation.

AI-generated results are intended to provide a practical starting point. They may be incomplete, inaccurate or unsuitable for a particular design or purpose.

You are responsible for reviewing and, where appropriate, editing or correcting generated results before relying on them for purchasing, quoting, pricing, ordering or other business decisions.

Floralyst does not guarantee the identification of any flower, foliage, sundry or other item, or the accuracy of suggested quantities, costs, prices or other generated information.
 

4. Costing, Pricing and Profit Information

Floralyst provides tools designed to help you calculate and understand costs, selling prices, margins, markups and potential profitability.

Results depend on the information available to Floralyst and the information you provide, which may include flower prices, quantities, wastage, sundries, labour, delivery, hire items and other costs.

These calculations are provided as business-planning tools only.

Floralyst does not provide financial, accounting, tax or other professional advice and does not guarantee that a particular price, quotation, arrangement or project will be profitable.

You remain responsible for your own pricing, quotations, purchasing and commercial decisions.
 

5. Subscriptions and Free Trials

Some Floralyst features require a paid subscription.

Available subscription plans, included features, billing periods and prices will be displayed before purchase.

Where Floralyst offers a free trial, the duration of the trial and the subscription price payable following the trial will be displayed before you subscribe.

Subscriptions purchased through Apple’s App Store are billed to your Apple Account and are also subject to Apple’s applicable terms and conditions.

Auto-renewable subscriptions renew automatically unless cancelled in accordance with the rules of the platform through which the subscription was purchased.

You can manage or cancel a subscription purchased through Apple through your Apple Account subscription settings.

Cancellation normally prevents the next renewal. Unless otherwise required by applicable law or the relevant platform’s terms, you will continue to have access to the applicable subscription features until the end of the period for which you have already paid.

Purchases made through Apple’s App Store are administered by Apple. Requests for refunds relating to App Store purchases should be made through Apple and are subject to Apple’s applicable refund policies.

Deleting your Floralyst account does not automatically cancel an App Store subscription. You must separately cancel your subscription through Apple where applicable.

If Floralyst offers subscriptions through other platforms or directly through its website in the future, the payment, renewal and cancellation terms presented through that purchasing channel will apply.
 

6. Subscription Plans and Features

Floralyst may offer different subscription plans with different functionality, usage allowances or limits.

The features included in each plan will be described when you subscribe.

We may develop, improve, modify, replace or discontinue features as Floralyst evolves.

Where a change materially affects a paid subscription, we will comply with applicable law and relevant platform requirements.
 

7. Your Content

You retain ownership of photographs, floral recipes, project information, prices and other content that you upload to or create using Floralyst (“Your Content”).

You grant Ecomlytics Ltd the limited rights necessary to process, store, transmit and display Your Content for the purposes of operating and providing Floralyst to you.

You are responsible for ensuring that you have the necessary rights and permissions to upload and use Your Content.

You must not upload content that is unlawful, infringes another person’s intellectual property, privacy or other rights, or contains malicious software or other harmful material.

Our collection and use of personal information is described in the Floralyst Privacy Policy.
 

8. Intellectual Property

Floralyst, including its software, branding, design, functionality, text, graphics and other proprietary content, is owned by or licensed to Ecomlytics Ltd and is protected by applicable intellectual property laws.

These Terms do not transfer ownership of Floralyst or any related intellectual property to you.

Except to the extent permitted by applicable law, you may not copy, modify, reverse engineer, distribute, sell, sublicense or commercially exploit Floralyst or any part of the Service without our prior written permission.

Use of the Floralyst iOS application is also subject to Apple’s Standard Licensed Application End User License Agreement where applicable.
 

9. Acceptable Use

You must not misuse Floralyst.

In particular, you must not attempt to gain unauthorised access to the Service or its underlying systems; interfere with or disrupt its operation; introduce malicious code; circumvent usage restrictions or security measures; use automated systems in a manner that places an unreasonable burden on the Service; or use Floralyst for unlawful or fraudulent purposes.

We may restrict or suspend access where reasonably necessary to protect Floralyst, our users, Ecomlytics Ltd or third parties.
 

10. Availability and Third-Party Services

We aim to provide a reliable Service, but we cannot guarantee that Floralyst will always be available, uninterrupted or error-free.

Some Floralyst functionality relies on internet connectivity, artificial intelligence providers, hosting providers, authentication services, app stores and other third-party services.

Features may occasionally be unavailable because of maintenance, updates, outages, changes to third-party services or circumstances outside our reasonable control.

We may update Floralyst as the Service develops.
 

11. Changes to These Terms

We may update these Terms from time to time to reflect changes to Floralyst, our business, applicable law or regulatory requirements.

The current version will be published on the Floralyst website with its effective date.

Where a change is material and applicable law requires us to do so, we will provide appropriate notice.

Your continued use of Floralyst following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.
 

12. Disclaimers and Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or affects statutory rights that you may have under applicable consumer law.

To the extent permitted by law, Floralyst is provided on an “as available” basis.

We do not guarantee that AI-generated identifications, recipes, suggested quantities, calculations, pricing information or other outputs will be accurate, complete or suitable for your particular circumstances.

You are responsible for reviewing Floralyst outputs and making your own professional and commercial decisions.

To the maximum extent permitted by applicable law, Ecomlytics Ltd will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity, loss of anticipated savings or losses resulting from business decisions made solely in reliance on generated or calculated information provided by Floralyst.

Nothing in these Terms limits or excludes our liability where doing so would be unlawful.
 

13. Account Deletion and Termination

You may stop using Floralyst at any time.

You may delete your account using the account-deletion functionality provided within Floralyst where available.

Account deletion may result in the permanent deletion of your saved projects, recipes, prices and other account data, subject to any retention required by law or explained in our Privacy Policy.

As explained above, deleting your Floralyst account does not automatically cancel an App Store or other third-party subscription.

We may suspend or terminate access to Floralyst where you materially breach these Terms, misuse the Service, create a security risk, fail to pay applicable charges or where suspension or termination is required by law.

14. Governing Law

These Terms are governed by the laws of England and Wales.

If you use Floralyst as a consumer, you may also have mandatory rights under the laws of the country in which you live. Nothing in these Terms removes or restricts those rights where they apply.
